A business attorney focused on building long-term relationships with his clients, Andrew Spaulding began his career in litigation before shifting to business-focused work to emphasize collaboration and shared outcomes. “I value relationships that last decades, not just transactions,” he says. Andrew takes a proactive and personal approach to understanding each client’s needs, helping them navigate change and growth over time. Outside the office, he enjoys spending time with his family and is involved in youth-oriented nonprofits—including Luther Burbank Center for the Arts and the Children’s Museum of Sonoma County—supporting arts and education initiatives in Sonoma County.

Background
Andrew’s practice focuses on general business law and business transactions, including asset and stock purchases, mergers and acquisitions, entity formation, corporate governance, ownership and buy-sell agreements, contract drafting and negotiation, debt and equity financings, and securities law.
Andrew also handles intellectual property matters, including protection and licensing of trademarks, and real estate transactions, including commercial leases, residential purchase agreements, and construction contracts.
Andrew’s breadth of experience in different areas of the law gives him a unique and well-rounded perspective. As a litigator for nearly 10 years, Andrew handled cases involving personal injuries, business and contract disputes, trusts and probate, professional liability, insurance coverage, medical malpractice, and elder abuse. For several years, Andrew also specialized in employment law, representing and counseling employers.
After graduating from University of Colorado Boulder, Andrew received his J.D. from Southwestern Law School. Prior to joining SMT, Andrew worked in the San Francisco office of a respected national firm and he was a senior associate at Lynch, Gilardi & Grummer. In addition, Andrew briefly managed the litigation practice for a prominent Los Angeles law firm, where he worked closely with clients in the entertainment and cannabis industries.
Andrew serves on the Board of Directors for the Luther Burbank Center for the Arts and the Northern California Center for Well-Being. He also co-chairs the Sonoma County Bar Association’s annual Law Week program and serves on the SCBA’s Education Committee.
Andrew is a proud graduate of Leadership Santa Rosa Class 38. In 2025, Andrew was selected as one of the North Bay Business Journal’s Forty Under 40 award winners. Andrew has also been recognized twice by The Bohemian as “Best Intellectual Property Attorney” in the North Bay.
Andrew was born and raised in Santa Rosa. When he’s not in the office, Andrew enjoys playing and watching sports, traveling, music, good food and craft beer, and spending time with his family.
